1. AGREEMENT TO TERMS

Welcome to Nutrilogy ("Company," "we," "us," "our"), a nutrition and wellness platform operated from Bangalore, India.

These Terms and Conditions ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you," "user," "your"), and Nutrilogy, concerning your access to and use of:

• Our website at https://nutrilogy.in (the "Site")
• Our mobile applications (iOS and Android)
• Our services, features, and content (collectively, the "Services")

By accessing the Services, you represent that you have read, understood, and agree to be bound by all these Terms. If you do not agree with these Terms, you are prohibited from using the Services and must discontinue use immediately.

We reserve the right to modify these Terms at any time. Changes will be posted on the Site with an updated "Last Updated" date. Your continued use of the Services after changes constitutes acceptance of the revised Terms.

2. ELIGIBILITY AND USER REQUIREMENTS

Age Requirement

• The Services are intended for users aged 18 years and older.
• If you are under 18, you are not permitted to use the Services.
• By using the Services, you represent and warrant that you are at least 18 years old.

User Representations

By using the Services, you represent and warrant that:

• All registration information you provide is true, accurate, current, and complete
• You have the legal capacity to enter into this binding agreement
• You will comply with all applicable laws, regulations, and these Terms
• You will not use the Services for any illegal, harmful, or unauthorized purpose
• You are not a competitor of Nutrilogy or using the Services to compete with us
• You will not access the Services through automated means (bots, scripts, scraping tools)

3. ACCOUNT REGISTRATION AND SECURITY

Account Creation

To access certain features of the Services, you may need to create an account ("Account"). When registering, you must provide:

• Accurate and complete personal information (name, email, phone)
• Your health profile information (age, weight, medical conditions, allergies, health goals)
• Valid payment information (if subscribing to premium tiers)

Your Responsibilities

• You are solely responsible for maintaining the confidentiality of your login credentials
• You must update your account information promptly if any changes occur
• You are fully responsible for all activities under your Account, including any unauthorized access
• You agree not to share your Account with anyone else

Security

• Use strong passwords and keep them confidential
• Log out of your Account at the end of each session
• Notify us immediately of any unauthorized access or security breach at nutrilogy.in@gmail.com
• Nutrilogy is not liable for unauthorized access to your Account, even if you have notified us

Account Termination

We reserve the right to:

• Suspend or terminate your Account at any time, without prior notice
• Disable your access if you violate these Terms or engage in harmful conduct
• Delete your Account data if requested (subject to applicable laws)
• Refuse service to anyone for any reason

4. HEALTH DATA AND MEDICAL DISCLAIMER

IMPORTANT: NOT MEDICAL ADVICE

The Services and all Content provided through Nutrilogy are for informational and educational purposes only. The Services do NOT constitute:

• Medical advice or diagnosis
• Treatment recommendations
• A substitute for professional medical consultation
• Healthcare services

Your Responsibility

• You are solely responsible for evaluating all information, advice, and recommendations provided through Nutrilogy
• Consult a licensed healthcare professional, registered dietitian, or doctor before making any health decisions based on information from Nutrilogy
• Do not rely solely on Nutrilogy for medical or nutritional advice

Health Data Handling

• You grant Nutrilogy permission to collect, store, and process your health data (bio-indexes, dietary logs, medical conditions) to provide personalized recommendations
• Your health data is encrypted and handled in compliance with applicable Indian privacy laws
• You acknowledge that sharing health data with health professionals or trainers is your choice

AI Assistant Limitations

• Our AI assistant provides general nutrition and wellness information
• The AI is not a substitute for professional medical advice
• Always verify critical health information with qualified healthcare professionals
• We disclaim liability for any decisions made based solely on AI responses

5. USER-GENERATED CONTENT

Your Content

By uploading, posting, or submitting any content to Nutrilogy—including meal photos, health data, comments, feedback, or suggestions ("Content")—you represent and warrant that:

• You own or have the necessary rights to submit this Content
• The Content does not infringe any third-party intellectual property rights
• The Content is not defamatory, offensive, or harmful
• You have obtained consent from any identifiable individuals in photos or videos
• The Content complies with applicable laws

License to Nutrilogy

In exchange for using the Services, you grant Nutrilogy:

• An exclusive, perpetual, irrevocable, worldwide right to use, copy, reproduce, distribute, and display your Content
• The right to use your Content for improving our AI algorithms, analytics, and services
• The right to publish anonymized and aggregated data derived from your meals, health metrics, and usage patterns
• These rights survive even after you stop using the Services or delete your Account

Removal of Content

• You may delete your Content at any time from your Account
• Nutrilogy may remove, edit, or moderate any Content that violates these Terms or appears harmful
• We may remove Content without notice or liability
• Some data may be retained for legal compliance or backup purposes

Your Data Ownership

• You retain ownership of the underlying health and personal data
• You can export or delete your Account data anytime through your Account settings
• Nutrilogy retains the right to use anonymized, aggregated data for research and analytics

6. PROHIBITED ACTIVITIES

You agree NOT to:

General Prohibitions:

• Use the Services for illegal purposes or to violate any law or regulation
• Access or use the Services through unauthorized automated means (bots, scrapers, data mining tools)
• Attempt to gain unauthorized access to the Services or other user Accounts
• Reverse engineer, decompile, or attempt to derive the source code of our Services
• Circumvent security measures or technical protections

Data and Content Prohibitions:

• Collect or extract user data, health information, or meal logs without authorization
• Scrape, copy, or reproduce the food database or nutritional information without permission
• Republish or redistribute any Content from Nutrilogy without written permission
• Use meal photos or user information to harass, harm, or discriminate against others

Prohibited Uses:

• Compete with Nutrilogy or use the Services for commercial advantage
• Impersonate another person or misrepresent your identity
• Post content that is defamatory, offensive, discriminatory, or sexually explicit
• Harass, threaten, or abuse other users or Nutrilogy staff
• Upload viruses, malware, or harmful code
• Engage in spam, phishing, or social engineering attacks

Professional/Clinical Use:

• If you are a health professional (nutritionist, dietitian, doctor) using Nutrilogy with clients, you must:
  • Clearly represent that Nutrilogy is an informational tool, not a medical device
  • Not misrepresent the capabilities or accuracy of Nutrilogy to clients
  • Ensure clients understand they should consult you or other professionals for medical advice
  • Assume full responsibility for any advice you provide to clients using data from Nutrilogy
  • Not republish or redistribute client data outside of Nutrilogy without explicit consent

7. INTELLECTUAL PROPERTY RIGHTS

Nutrilogy Content

Nutrilogy owns all intellectual property in:

• The Site and mobile applications
• All text, graphics, images, videos, audio, and designs
• The food database (25,000+ Indian and international foods)
• Meal planning algorithms and AI models
• Recipes, nutritional data, and educational content
• Logos, trademarks, and service marks

Your License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to:

• Access and use the Services for your personal, non-commercial purposes
• Download or print Content for personal use only
• View your own meal logs and health data

Restrictions:

• You may NOT copy, reproduce, or republish any Content without written permission
• You may NOT modify, adapt, or create derivative works
• You may NOT download or extract the food database or nutritional data
• You may NOT use the Services to train competing algorithms or AI models

Third-Party Content

The Services may include content from third parties (links, embedded content, APIs). We do not control or endorse third-party content and disclaim liability for any issues arising from third-party materials.

8. PAYMENT AND SUBSCRIPTIONS

Payment Processing

• We use Razorpay for secure payment processing
• We accept Visa, Mastercard, American Express, and UPI
• You agree to provide accurate and complete payment information
• By subscribing, you authorize automatic recurring charges
• All prices are in Indian Rupees (INR)

Billing and Renewal

• Subscriptions auto-renew unless canceled
• You will be notified before each renewal
• Renewal charges will be applied to your payment method on file
• You can cancel anytime through your Account settings
• Cancellation takes effect at the end of your current billing cycle

Refunds

• All purchases are non-refundable, except as required by law
• If you have concerns about a charge, contact us at nutrilogy.in@gmail.com
• Refund requests must be made within 7 days of purchase
• We comply with applicable Indian consumer protection laws

Price Changes

• We may update subscription prices at any time
• Price changes will be notified to you at least 30 days before renewal
• Your continued use after notification constitutes acceptance of new prices
• Existing subscribers will continue at their current price until the next renewal cycle

9. WEARABLE INTEGRATIONS AND THIRD-PARTY SERVICES

Wearable Device Integration

Nutrilogy integrates with fitness wearables and health apps:

• Fitbit, Apple Watch, Google Fit, Samsung Health, Garmin
• By connecting a wearable, you authorize Nutrilogy to access your fitness and health data
• Integration is subject to the third-party terms and your authorization through their platforms
• We do not store raw wearable data; we use it to enhance your personalized recommendations

Third-Party Services

• Our AI assistant uses OpenAI API (GPT-4) for conversational responses
• Data sent to OpenAI is subject to OpenAI's Privacy Policy
• Our backend uses Supabase for secure data storage
• Authentication is handled through Clerk
• These third-party services are subject to their respective terms of service

API Integrations

• Nutrilogy does not guarantee uninterrupted access to third-party APIs
• If third-party services become unavailable, Nutrilogy is not liable
• You acknowledge that third-party service providers may change, discontinue, or modify their services

10. LIMITATION OF LIABILITY AND DISCLAIMERS

NO WARRANTIES

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, NUTRILOGY DISCLAIMS:

• All warranties of merchantability, fitness for a particular purpose, title, and non-infringement
• Any warranty that the Services will be uninterrupted, error-free, or secure
• Any warranty regarding the accuracy, completeness, or reliability of nutritional data or recommendations

FOOD RECOGNITION ACCURACY

• The AI image recognition system is approximately 90% accurate for common Indian and international foods
• Portion size estimates may not be precise
• Users should manually verify meal recognition results
• We disclaim liability for inaccurate calorie or macronutrient calculations due to meal recognition errors

HEALTH OUTCOMES

• Nutrilogy does NOT guarantee weight loss, improved health metrics, or achievement of health goals
• Results vary based on individual factors, compliance, and lifestyle
• You acknowledge that dietary changes should be made under professional guidance
• Nutrilogy is not responsible for any adverse health outcomes

LIMITATION OF DAMAGES

To the fullest extent permitted by law, in no event shall Nutrilogy be liable for:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or goodwill
• Any damages arising from your use or inability to use the Services
• Any damages arising from third-party services, wearables, or APIs
• Any medical consequences of using Nutrilogy

Maximum Liability: Even if we are found liable, our total liability to you shall not exceed the amount you paid for premium subscriptions in the past 12 months, or ₹500, whichever is less.

11. PRIVACY AND DATA PROTECTION

Privacy Policy

Your use of the Services is governed by our Privacy Policy, which is incorporated into these Terms.

Data Security

• We use industry-standard encryption (TLS 1.3, AES-256) to protect your data
• Your Account is secured with password authentication via Clerk
• Health data is encrypted at rest and in transit
• We comply with the Digital Personal Data Protection Act, 2023 (DPDPA) and applicable Indian data protection laws

Data Retention

• Your personal and health data is retained as long as your Account is active
• Upon Account deletion, your data is deleted within 30 days (some data may be retained for legal compliance)
• Aggregated, anonymized data may be retained indefinitely for analytics and research

Data Sharing

We do NOT sell your personal health data. However, we may:

• Share anonymized, aggregated data with researchers for nutrition science studies
• Share data with healthcare professionals if you explicitly authorize
• Disclose data if required by law, court order, or government request
• Share data with third-party service providers (OpenAI, Supabase, Clerk) as necessary to provide Services

12. PROFESSIONAL ACCOUNTS (NUTRITIONISTS, TRAINERS, DOCTORS)

If you are a health professional using Nutrilogy to provide services to clients:

Eligibility

• You must be at least 18 years old and legally qualified to provide health services
• Nutrilogy does NOT verify your qualifications or licensing
• You are solely responsible for ensuring you hold all necessary licenses, certifications, and qualifications required by law

Your Obligations

• You must clearly represent that Nutrilogy is an informational tool, not a medical device
• You must not misrepresent the capabilities, accuracy, or purpose of Nutrilogy to clients
• You must inform clients to consult qualified healthcare professionals for medical advice
• You assume full responsibility for all advice, guidance, and services you provide
• You must obtain explicit client consent before accessing their Nutrilogy data
• You must maintain confidentiality of client health information

Client Data Access

• Clients can grant you access to view and manage their health data
• You may only use client data for providing health or wellness services
• You may NOT republish, distribute, or transfer client data outside of Nutrilogy
• You may NOT share client data with other professionals without client consent
• Nutrilogy is NOT liable for your use or misuse of client data

Indemnification

• You agree to indemnify and hold Nutrilogy harmless from any claims, damages, or liabilities arising from:
  • Your provision of health or wellness services
  • Advice or recommendations you provide to clients
  • Your use of client data
  • Clients' reliance on your recommendations

Termination

• Nutrilogy may terminate your professional account if you violate these Terms
• We may report violations to relevant professional regulatory bodies

13. SERVICES MANAGEMENT AND CHANGES

Right to Modify or Discontinue

We reserve the right to:

• Modify, update, patch, or discontinue any feature of the Services at any time
• Suspend or terminate the Services or specific features without prior notice
• Change system requirements, hardware specifications, or technology stack
• Interrupt Services for maintenance or updates

Monitoring and Enforcement

We reserve the right (but not the obligation) to:

• Monitor the Services for violations of these Terms
• Take appropriate legal action against violations, including reporting to law enforcement
• Remove, edit, or disable any Content or features that violate these Terms
• Suspend or terminate your Account for violations
• Manage the Services in any manner we deem necessary

No Obligation to Update

• We have no obligation to provide updates, bug fixes, or new features
• We may discontinue portions of the Services at any time
• You acknowledge that outdated software or features may eventually become unsupported

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Nutrilogy and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your use or misuse of the Services
• Your violation of any applicable law or regulation
• Your infringement of any third-party intellectual property rights
• Your health data or Content submitted to the Services
• Any claims by third parties related to your use of the Services

15. GOVERNING LAW AND DISPUTE RESOLUTION

Governing Law

These Terms are governed by the laws of India, specifically the laws of Karnataka and the jurisdiction of Bangalore/Bengaluru courts.

Dispute Resolution

• These Terms constitute the entire agreement between you and Nutrilogy
• If you have a dispute, contact us first at nutrilogy.in@gmail.com
• We will attempt to resolve disputes through informal negotiation
• If unresolved within 30 days, you may pursue legal action in courts located in Bangalore, India

Arbitration (if applicable)

• Subject to applicable Indian law, disputes may be subject to arbitration
• Arbitration will be governed by the Arbitration and Conciliation Act, 1996

Severability

If any provision of these Terms is found invalid or unenforceable, that provision is severed, but all other provisions remain in effect.
